Agreement to These Terms

These Terms of Service form a binding agreement between you and DingZhou QingRan Trading Co., Ltd., a trading house operating from its counting house at 100m West of Xinhua Middle School, Nancheng District, Baoding City - 073000, China (CN). By visiting our website, by sending a message to our counter, by requesting a routing note or by using any of the services described on this site, you agree to be bound by these terms. If you do not agree with any part of them, please do not use the website or the services.

These terms should be read together with our Privacy Policy, which explains how we handle personal information. Where an individual written agreement exists between you and DingZhou QingRan Trading Co., Ltd. for a particular consignment or arrangement, that agreement takes precedence over these terms to the extent of any conflict, and these terms continue to apply to everything the agreement does not cover.

Key Definitions

In these terms, we, us and our refer to DingZhou QingRan Trading Co., Ltd. The words website and site refer to the pages published at our domain. The word services refers to the routing, brokerage, letter, booking, review and sitting work described on this site and in our written communications. The word client refers to any person or organisation that engages us to perform services. The word routing note refers to the written plan we prepare for a consignment. The word brokerage slip refers to the working document that carries an instruction along a route. The word counter refers to our counting house and the people who work at it.

A reference to a working day means any day other than a Saturday, Sunday or public holiday in Baoding. A reference to writing includes email and any other durable medium that records the communication. Words in the singular include the plural and the reverse, and headings are for convenience only and do not affect interpretation.

Eligibility and Account Responsibility

Our services are intended for businesses and for adults acting in a professional capacity. By using the site or engaging us, you confirm that you are at least eighteen years of age and that you have the authority to enter into this agreement on behalf of yourself or the organisation you represent. If you act for an organisation, you confirm that you are entitled to bind that organisation to these terms.

You are responsible for the accuracy of the information you give us and for keeping your contact details current. If another person uses your email address or telephone number to communicate with the counter, we may treat their instructions as coming from you unless you have told us in writing that this is not the case. You agree to tell us promptly if you become aware of any unauthorised use of your details in connection with our services.

Scope of Our Services

DingZhou QingRan Trading Co., Ltd. provides trade routing and brokerage support from its Baoding counting house. Our work includes preparing routing notes, running brokerage slips, issuing market letters, securing booking windows, conducting cargo review rounds and holding counter sittings. We combine this operational work with integrated systems design so that information about a consignment is recorded once and shared accurately between the parties who need it.

We are a routing and brokerage house, not a carrier. We do not physically transport goods and we do not own the vessels, vehicles or aircraft that move them. Where a service requires physical carriage, we arrange it through partners and carriers whose own terms apply to that carriage. We describe plainly which parts of a route we control directly and which we supervise on your behalf, and we do not claim control we do not have.

Routing Notes and Client Instructions

A routing note is the foundation of every consignment. When you send us an enquiry, we prepare a note that records the origin, the destination, the cargo, the weight, the target date and any constraint you have named, and we set out two or three viable lanes with transit estimates and risk statements. The note is a written plan, not a guarantee of a particular outcome, and the estimates it contains are prepared in good faith on the basis of the information available at the time.

You agree to review each routing note promptly and to confirm your chosen lane in writing before we proceed. If the facts you provided change after the note is prepared, you agree to tell us at once so that the note can be revised. We will not be responsible for a difficulty that arises because an instruction was incomplete or because a change was not reported to us in good time.

Brokerage Slips and Written Records

Every instruction is carried on a numbered brokerage slip. The slip states what is to be done, by whom and by when, and it is reconciled on a daily run so that the record of what was intended matches the record of what was done. You agree that a written slip is the proper way to give us an instruction, and that an instruction given only by telephone or in conversation will be confirmed on a slip before it is acted upon.

The slips and their confirmations form the permanent record of your consignment. We keep that record for the period described in our Privacy Policy and we may rely on it to answer questions that arise later. If you believe a slip contains an error, you agree to tell us within the period stated on the slip so that the record can be corrected before it is relied upon.

Market Letters and Information

Our market letters report rate movements, port conditions and route warnings in plain prose for clients with an active routing arrangement. A letter is provided for information and planning. It is prepared with care, but it reflects conditions that change quickly, and it is not a promise that a particular rate, transit time or outcome will hold. You remain responsible for the commercial decisions you make on the basis of a letter.

Letters are confidential to the client to whom they are addressed. You agree not to publish a letter, or the substance of its analysis, in a way that misrepresents its purpose or that discloses information about another client. Where a letter includes figures that are specific to your arrangement, you agree to keep those figures private except where disclosure is required by law or by your own advisers under a duty of confidence.

Booking Windows and Capacity

A booking window is a secured hold on capacity for an agreed lane and period. When you accept a lane, we approach the relevant partners and carriers, secure the space and confirm the hold in writing. The confirmation states the lane, the window, the capacity and the conditions under which the hold may be released. A held window is treated as a commitment by both parties: we will not release it quietly, and you agree not to treat a held window as optional without telling us first.

Capacity belongs to the carriers that provide it, and on rare occasions a carrier may withdraw capacity for reasons outside our control. Where that happens, we will tell you immediately and offer the next workable window. We will not be liable for a loss that arises from a carrier withdrawal that we could not reasonably have prevented, but we will use reasonable efforts to reduce the effect on your schedule and to document what happened.

Cargo Review Rounds

Before a consignment is sealed and dispatched, we conduct a cargo review round in which a member of the bench checks counts, labelling, packaging condition and documentation against the brokerage slip. Findings are recorded on a review sheet and are closed before the seal is applied. A review round is a check for consistency between the paperwork and the goods, and it is not a substitute for the inspection obligations that you or the carrier may owe under your own arrangements.

You agree to make the goods available for review at the agreed time and to provide any document the route requires. If a discrepancy cannot be resolved at the rail, the review round will be paused and we will tell you at once. We will not dispatch a load that we cannot fully account for, and we will not be responsible for a delay that results from a discrepancy that you are not able to resolve promptly.

Counter Sittings

A counter sitting is a scheduled conversation between the client and the bench, held in person at the Baoding counting house or by remote link. The sitting reviews recent routes, examines the letters issued during the period and considers adjustments to windows and review rounds. Decisions made at the sitting are minuted and followed through on the next slip run. A sitting is a planning and review meeting, and it does not by itself change the terms of an existing arrangement unless the change is recorded in writing.

We ask clients to come to a sitting prepared, with any questions and any change of plan to be discussed. A sitting works best when both parties bring the record. If neither party asks for a change, the arrangement continues as described in the existing slips and letters.

Fees and Payment

Our fees are set out in the routing note, the letter or a separate written quotation agreed with you. Unless a quotation states otherwise, fees are quoted in the currency named in the quotation and are exclusive of any tax that the law requires us to charge. You agree to pay each invoice within the period stated on it, and where no period is stated, within fourteen days of the invoice date.

If you dispute an invoice, please tell us within seven days of receipt, giving the reason and the amount in dispute. We will investigate promptly and will not suspend an undisputed part of the service while a dispute over a disputed part is being resolved. Late payment may attract interest at the rate stated in the quotation, or where none is stated, at a reasonable rate that reflects the cost of late payment.

Client Obligations

You agree to give us complete and accurate information about each consignment, including the nature of the goods, any hazard, the weight and dimensions, the parties involved and the documents the route requires. You agree to comply with all applicable law, including the law that governs the export, import and carriage of the goods, and to obtain any licence or permit that the route requires. You confirm that you are entitled to send the goods and that they are not the subject of a prohibition that you have failed to disclose.

You agree to respond promptly to our written requests, to sign off on routing notes and slips in good time, and to make the goods available for review when a round is scheduled. You agree not to ask us to act in a way that would breach the law, that would misrepresent a consignment to a carrier or authority, or that would put the bench or another client at risk.

Prohibited Use

You agree not to use our website or services for an unlawful purpose, to send a consignment that is prohibited by the law of the origin, the destination or any transit country, or to present false information in a routing note, a brokerage slip or a letter. You agree not to attempt to gain unauthorised access to our systems, to disrupt the site, to introduce malicious code, or to use the site in a way that harms another person.

You agree not to copy, scrape or republish the content of our site in a way that infringes our rights, and not to use our name or marks in a manner that suggests an endorsement you do not have. We may suspend or end access where we reasonably believe a prohibited use has occurred, and we may report a serious matter to the appropriate authority.

Intellectual Property

The content of our website, including the text, the layout, the design and the underlying systems, is owned by DingZhou QingRan Trading Co., Ltd. or is used by us with permission. The name DingZhou QingRan Trading Co., Ltd. and the name ClearNature are used with the authority of their respective owners. You may view and print pages for your own reference, but you may not reproduce, distribute or create derivative works from our content for a commercial purpose without our written agreement.

A routing note, a brokerage slip and a market letter prepared for you are provided for your use in connection with the consignment they concern. You may share them with the parties on your route as needed, but you may not publish them or use them to compete with us. All rights not expressly granted in these terms are reserved.

Third Party Partners and Carriers

We work with forwarding partners, carriers and other providers to deliver the services. The terms of those providers may apply to the part of the route they handle, and in some cases you may be required to accept them directly. We choose our partners with care, but we do not control them, and we cannot guarantee their performance in every circumstance.

Where a partner or carrier causes a delay or a loss, we will help you understand what happened, we will document the event on the record, and we will support any claim you wish to make. Our support does not change the terms of the partner, and it does not make us responsible for a failure that lies within the partner or carrier own responsibility.

Limitation of Liability

To the fullest extent permitted by law, DingZhou QingRan Trading Co., Ltd. will not be liable for any indirect, incidental, special or consequential loss, including loss of profit, loss of business, loss of goodwill or loss of anticipated savings, arising from the use of our website or services. Our total liability for a claim arising from a particular engagement will be limited to the fees we received for that engagement, or to the amount stated in the written quotation, whichever is the greater.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by our negligence, or for any other liability that the law does not allow us to exclude. Where the law of your jurisdiction does not permit a particular limitation, the limitation applies only to the extent that the law allows, and the rest of these terms continues in force.

Indemnity

You agree to indemnify DingZhou QingRan Trading Co., Ltd. against any loss, claim or expense that arises from your breach of these terms, from inaccurate or incomplete information you supplied, from your failure to obtain a required licence or permit, or from the unlawful nature of a consignment you asked us to route. This indemnity applies to the extent that the loss was caused by your act or omission and not by our own.

We will tell you promptly if a claim is made that may fall within this indemnity, and we will cooperate reasonably in the defence of the claim. You may not settle a claim in a way that admits fault on our part without our written agreement.

Force Majeure

Neither party will be liable for a failure to perform an obligation that is caused by an event beyond its reasonable control. Such events may include natural disaster, epidemic, war, civil disturbance, a labour dispute, a failure of a public utility or network, an act of government, or a severe disruption of transport. The affected party will tell the other promptly, will take reasonable steps to reduce the effect, and will resume performance as soon as it is able.

If a force majeure event continues for a prolonged period, either party may end the affected engagement by written notice. Where an engagement is ended in this way, you will pay for the work properly done up to the date of ending, and we will return any document or goods that belong to you.

Suspension and Termination

We may suspend or end your access to the website or our services if you breach these terms, if we are required to do so by law, or if continuing would expose us or another client to a serious risk. Where it is reasonable to do so, we will give you notice and an opportunity to put the matter right. You may end an engagement at any time by written notice, subject to the terms of any quotation that applies to the engagement.

On termination, you agree to pay for the work properly done up to the date of termination and for any commitment we made on your behalf that cannot be cancelled. The provisions of these terms that by their nature should survive termination, including those on intellectual property, liability, indemnity and governing law, continue to apply.

Governing Law and Disputes

These terms are governed by the laws of the place in which DingZhou QingRan Trading Co., Ltd. operates, without regard to conflict of law rules. If a dispute arises, the parties will first try to resolve it through good faith discussion at the counter. Either party may invite the other to a meeting, and both parties will attend with the record and with authority to settle.

If discussion does not resolve the matter within a reasonable period, either party may refer the dispute to the competent court or, where the parties have agreed in writing, to arbitration. Nothing in this section prevents either party from seeking urgent relief from a court where such relief is necessary to protect its rights.

Changes to These Terms

We may update these terms from time to time to reflect changes in our services or in the law. When we make a material change, we will update the effective date at the top of the page and, where the change affects you significantly, we will take reasonable steps to bring it to your attention. We encourage you to return to this page occasionally so that you know the terms that apply at any given time.

If you continue to use our website or services after a change has taken effect, we will treat that as acceptance of the updated terms to the extent that such acceptance is permitted by law. Where your agreement is legally required for a particular change, we will ask for it separately and will not apply the change until we have received it.
